TERMS AND CONDITIONS OF THE"Recommend a friend" programme

INTRODUCTION

The purpose of these regulations (hereinafter: "Regulations") is to set out the terms and conditions relating to the employment of candidates under the referral programme in force at Speedapp Ltd.

The referral programme offers a one-off reward payment for referring a candidate in accordance with the terms and conditions outlined below. The referral programme is designed to support Speedapp's recruitment team in attracting, hiring by Speedapp or the Client and retaining the best talent interested in working for Speedapp or its Clients. We give you the opportunity to refer candidates for selected positions advertised by Speedapp.

§ 1. DEFINITIONS

1.1. Speedapp Sp. z o.o., with registered office in Warsaw, ul. Bracka 25, 00-028 Warsaw, registered in the Register of Entrepreneurs of the National Court Register under KRS number 0000563188, (NIP 9512394461, REGON 36179911), represented by Mr Piotr Zieliński, hereinafter referred to as "Speedapp", hereinafter referred to as the "Organiser",

1.2. A scheme organised by Speedapp, as detailed in these Terms and Conditions, whereby referrers of an IT employee will receive a cash bonus upon meeting the conditions set out in these Terms and Conditions,

1.3. Referrer - a person over the age of 18 who has full legal capacity and who has obtained the Candidate's consent to participate in the recruitment process undertaken by Speedapp and who, during the duration of the "Refer a Friend" Programme, has sent a message with the contact details or CV of the applicant to the following email address: referral@speedapp.pl

1.4. Candidate - an individual who has been enrolled by a Referrer who is not currently an employee of Speedapp and has not yet commenced the recruitment process conducted by Speedapp.

1.5. Speedapp client - the business entity for which Speedapp provides recruitment services.

§ 2. GENERAL PROVISIONS

2.1. The Rules and Regulations of the Programme constitute the legal basis for its operation, at the same time defining the rights and obligations of the Recommender and the Organiser.

2.2. The Refer a Friend programme offers t h e payment of a financial reward for referring a Candidate in accordance with the terms and conditions set out below.

2.3. Participation in the Programme is voluntary and is tantamount to acceptance of the Terms and Conditions.

2.4. The duration of the Programme is not fixed. The Organiser may terminate the Programme at any time. In the event of termination of the Programme, all applications made prior to the announcement of termination will be eligible for the Programme.

§ 3. CONDITIONS OF PARTICIPATION

3.1. Any natural person residing in Poland, who is at least 18 years of age on the date of making a referral in accordance with the terms and conditions of the Programme, may participate in the Programme as a referral. Employees or associates of SPEEDAPP performing recruitment or sales activities as well as members of their immediate family and partners with whom they run a joint household are excluded from recommending candidates for IT consultant positions. By members immediate family means ascendants, descendants, siblings, spouses, spouses of siblings, collateral relatives and persons in an adoptive relationship.

3.2. Any natural person who is a resident of Poland, who is at least 18 years of age on the date of making a referral in accordance with the terms and conditions of the Programme and who meets the formal requirements, may participate in the Programme as a Candidate.

3.3. In the situations described below, referred Candidates will not be qualified for the Programme and therefore the Person referring them will not be entitled to payment of the referral reward:

a) The referred candidate has himself/herself applied to SPEEDAPP or a SPEEDAPP client w i t h i n 1 year prior to the referrer recommending him/her.

b) The recommended candidate has been involved in the recruitment process at SPEEDAPP or at the client. SPEEDAPP in the 1 year preceding his/her application.

c) The referred candidate was not aware prior to his/her application to the Programme that he/she had been referred to SPEEDAPP or a SPEEDAPP client for the position in question.

d) The recommended candidate is a former or current employee or colleague of SPEEDAPP or a SPEEDAPP client.

3.4. The final decision on whether or not an applicant or referrer qualifies for the programme is made by the Organiser.

§ 4. PRINCIPLES OF PARTICIPATION IN THE PROGRAMME

4.1. Candidate referrals are possible via:

a) Directly to the email address: referral@speedapp.pl

4.2. For a referral to be valid and to be included in the Programme, the referrer should provide the following data and statements:

a) Name and contact details of the Referrer (telephone number and e-mail address);

b) A statement of consent obtained from the Candidate to participate in the programme and consent obtained from the Candidate for the Organiser to process the Candidate's personal data for the purposes of the programme.

c) Name of the Candidate.

d) Resume of the recommended Candidate or his/her contact details (telephone number, or other data enabling direct contact with the Candidate).

4.3. An applied Candidate may request at any time to be excluded from the recruitment processes to which he/she has been applied by the Referrer, as well as to update his/her any personal data.

4.4. The Programme Organiser reserves the right to exclude from the Programme Candidates whose skills deviate from the required market criteria. In such a situation, the Referrer's entry into the Programme and entitlement to the financial reward does not take place. The exclusion of the Candidate from the Programme is decided by the Organiser.

4.5. A Candidate can only be recommended by one Referrer . In the event of more than one referral , the order of application is decisive.

§ 5. FINANCIAL AWARDS

5.1. The Referrer becomes entitled to receive the Award when the referred Candidate enters any recruitment process conducted by SPEEDAPP and as a result is employed by SPEEDAPP or a SPEEDAPP Client and has worked for a minimum of 3 months.

5.2. The Referrer shall be informed by the Organiser of the award of the Prize within 14 days from the date of fulfilment of the prerequisites referred to in article 5.1 of the Rules and Regulations, or of the refusal to award the Prize if the prerequisites referred to in article 5.1 of the Rules and Regulations are not fulfilled.

5.3. SPEEDAPP will pay the cash award to the Referrer's account no later than 7 days after informing the Referrer of the Award, subject to receipt of payment from the Client for the employment of the referred candidate.

5.4. The amount of the award is: a bonus salary varying between PLN 2,000 and PLN 5,000. The amount depends on the candidate's level of competence.

Quotas when recommending IT Consultants:

- PLN 5,000 - for a Candidate with more than 5 years of commercial technical/directional experience required for the position.

- PLN 4,000 - for the establishment of a partnership or the commencement of work by a Candidate with 4 years of commercial technical/directional experience required for the position.

- PLN 3,000 - for establishing cooperation or taking up a job by a candidate acquaintance with 3 years of commercial technical/directional experience, required for the position in question

- PLN 2,000 - for the establishment of a partnership or the commencement of work by a Candidate with up to 2 years of commercial technical/directional experience required for the position.

In the case of recommending a candidate for an intra-company position, the amount of the award is:

- PLN 2 000 - regardless of seniority, excluding apprentices and trainees.

5.5. All public taxes resulting from the receipt of the prize shall be borne by the Referrer.

5.6. If the Candidate has not been employed within 3 months of the referral of the Candidate by the Referrer, the Candidate is treated as not having been enrolled in the Programme. The Referring Person is not entitled to a financial reward for his/her referral in this case.

5.7. The data subject may at any time exercise the rights set out in Articles 15 to 21 of the General Data Protection Regulation.

§ 6. FINAL PROVISIONS

6.1. The Regulations of the Referral Programme shall enter into force on the date of their announcement and shall remain in force indefinitely, until the date of the announcement of the termination of the Programme.

6.2. The Organiser reserves the right to terminate the Programme at any time and without stating a reason, and to modify the provisions of these Rules at any time and without stating a reason. 6.3. All disputes arising from the implementation of the Referral Programme and arising on the basis of these Regulations, which cannot be resolved amicably, shall be settled under Polish law by a court with jurisdiction over the registered office of the Organiser.
